520 _aSummary: It is important for a state to preserve its patrimony, or else it becomes a colony of another state, either politically but economically.On the other hand, foreign direct investment (FDI) has become more important for the economic growth and development of many countries. FDI can deliver capital, a means to pursue global strategic objectives, and a means to access technology and skills to the host country;thus, attracting FDI is an important issue of concern to many developing nations. The objective of this study is to determine why the Philippines lag behind its neighboring countries, particularly Indonesia, Thailand, and Vietnam and whether there are provisions in the Constitution that need to be amended to further attract FDI without sacrificing patrimony. The methodology used is identifying the determinants that attract FDI, comparing the status of the Philippines against the stated neighboring countries with regards the determinants are deciding factors. This study aims to provide the government recommendation on how to improve the Philippines attractiveness for FDI without becoming an economic colony of another country. The study shows that the Constitution and the statutes of the Philippines, except the percentage of ownership in most industries, are comparable to the other mentioned countries. What the Philippines need is an improvement in its governmental dynamics to attract direct foreign investment.
